Common use of Non-Solicit Clause in Contracts

Non-Solicit. The Executive shall not, during the Executive’s employment and for a period of one year following the termination of the Executive’s employment (regardless of the circumstances and reasons for such termination), directly or indirectly (i) offer employment to, hire or otherwise engage the services of any employee of the Company or any individual employed by the Company or any of its franchises within the twelve (12) months immediately preceding the termination of the Executive’s employment, or (ii) take any action that interferes in or results in the termination by an employee or franchisee of their employment, franchise or other business relationship with the Company.

Non-Solicit. The Executive shall not, during the Executive’s employment and for a period of one year 18 months following the termination of the Executive’s employment (regardless of the circumstances and reasons for such termination), directly or indirectly (i) offer employment to, hire or otherwise engage the services of any employee of the Company or any individual employed by the Company or any of its franchises within the twelve (12) eighteen months immediately preceding the termination of the Executive’s employment, or (ii) take any action that interferes in or results in the termination by an employee or franchisee of their employment, franchise or other business relationship with the Company.

Non-Solicit. The Executive shall not, during the Executive’s employment and for a period of one year twelve (12) months following the termination of the Executive’s employment (regardless of the circumstances and reasons for such termination), directly or indirectly (i) offer employment to, hire or otherwise engage the services of any employee of the Company or any individual employed by the Company or any of its franchises within the twelve (12) months immediately preceding the termination of the Executive’s employment, or (ii) take any action that interferes in or results in the termination by an employee or franchisee of their employment, franchise or other business relationship with the Company.

Non-Solicit. The Executive shall not, during the Executive’s employment and for a period of one year following the termination of the Executive’s employment (regardless of the circumstances and reasons for such termination), directly or indirectly (i) offer employment to, hire or otherwise engage the services of any employee of the Company Penn Xxxxxx or any individual employed by the Company Penn Xxxxxx or any of its franchises subsidiaries within the twelve (12) months immediately preceding the termination of the Executive’s employment, or (ii) take any action that interferes in or results in the termination by an employee or franchisee of their employment, franchise or other business relationship with the Company.

Non-Solicit. The Executive shall not, during the Executive’s employment and for a period of one year following the termination of the Executive’s employment (regardless of the circumstances and reasons for such termination), directly or indirectly (i) offer employment to, hire or otherwise engage the services of any employee of the Company or any individual employed by the Company or any of its franchises within the twelve (12) months immediately preceding the termination of the Executive’s employmentemployment (provided that this restriction shall lapse in respect of any former employee six months after such individual ceases to be employed by the Company), or (ii) take any action that interferes in or results in the termination by an employee or franchisee of their employment, franchise or other business relationship with the Company.

Non-Solicit. The Executive shall not, during During the Executive’s employment with the Company and for a during the period beginning on the Date of one year following Termination and ending two (2) years thereafter, Executive shall not directly or indirectly, individually or on behalf of any person other than the termination Company, aid or endeavor to solicit or induce any of the ExecutiveCompany’s or its affiliates’ employees to leave their employment (regardless of the circumstances and reasons for such termination), directly or indirectly (i) offer employment to, hire or otherwise engage the services of any employee of with the Company or any individual employed by the Company such affiliates in order to accept employment with Executive or any of its franchises within the twelve (12) months immediately preceding the termination of the Executive’s employmentother person, or (ii) take any action that interferes in or results in the termination by an employee or franchisee of their employmentcorporation, franchise limited liability company, partnership, sole proprietorship or other business relationship with the Companyentity.
