New Projects. 6.1 The Parties' obligations in relation to the identification, approval and delivery of New Projects which are Qualifying Projects are contained in Schedule 5 (Approval Process for New Projects).
New Projects. (a) If Licensee notifies Licensor that it wishes to develop additional Vacation Ownership Properties that use Hilton Marks (other than the Licensed Marks) either alone or as co-branding with any Licensed Marks, it shall notify Licensor in writing by submitting to Licensor a written application that contains all material information with respect thereto. Licensor may, in its sole discretion, grant Licensee a license to use such additional Trademarks in connection therewith, pursuant to a separate agreement or an amendment to this Agreement.
New Projects. A. Licensee shall provide Licensor with an application (“New Project Application”) in the form attached hereto as Exhibit K for each proposed New Project. The form of New Project Application may be modified by Licensor as required for compliance with Applicable Law or as mutually agreed by the parties hereto.
New Projects. Projects not included in the Baseline Charges that will be priced separately include the following: [***]* Charges, including consulting fees, resource fees, out-of pocket costs, and other costs required to complete or support any new Project or for New Services will be determined in accordance with Change Control and unless otherwise agreed will be charged at Service Provider’s time and materials rates.
New Projects. The phased office, research and development use development and all associated amenities, including, but not limited to, surface and structured parking, landscaping, and on- and off- site improvements, contemplated by or embodied within the Vested Approvals for (i) the Lindaro and Parking Expansion Project, and (ii) the two research and development buildings on the R&D Development Property.
New Projects. Fees, including consulting fees, resource fees, out-of pocket costs, and other costs required to complete or support any new project or for New Services may be based upon Service Provider's then-current daily commercial rates adjusted [***]* project pricing, or other bases, and will be determined in accordance with Change Control Procedures. Fees for each project will be negotiated and agreed to by the parties on a case-by-case basis.
New Projects. (a) Except with respect to the conversion of Diamond Properties into New Brand Licensed Vacation Ownership Property, which is covered solely pursuant to Section 5.2(d), if Licensee notifies Licensor that it wishes to develop additional Vacation Ownership Properties that use Hilton Marks (other than the Licensed Marks) either alone or as co-branding with any Licensed Marks, it shall notify Licensor in writing by submitting to Licensor a written application that contains all material information with respect thereto. Licensor may, in its sole discretion, grant Licensee a license to use such additional Trademarks in connection therewith, pursuant to a separate agreement or an amendment to this Agreement.
New Projects. The Minister will use best efforts to identify and allocate funding outside of the funding AHMA obtains or administers pursuant to any existing funding agreements under its purview, to identify New Projects, and to prepare feasibility studies respecting such New Projects.
New Projects. 16.1. The Principal shall give the Contractor the opportunity to tender for contracts of work on any other project that is undertaken by the Principal or their associated businesses, providing the work falls within the scope of practice and portfolio of services of the Contractor.
New Projects. If a new certificate of authorization contemplated by the EQA is required by Opinaca for a new project on the Claims Area (a “New Project”), the Parties shall amend the description of the Xxxxxxxx Project provided in Subsection 1.11.1 by including, by way of reference, the amended ESIA and/or amended Certificate of Authorization, as the case may be, so that this Agreement shall also apply to such New Project and such New Project shall become a part of the Xxxxxxxx Project. If a new certificate of authorization contemplated by the EQA is not required by Opinaca for a new project, then such new project shall be deemed to form part of the Xxxxxxxx Project and this Agreement shall apply to such new project and such new project shall become a part of the Xxxxxxxx Project.
