GOVERNANCE; MANAGEMENT AND OPERATIONS OF THE COMPANY. SECTION 2.01. Management of the Company. The business and affairs of the Company shall be managed by and under the direction of a board established pursuant to, and with the powers and authority set forth in, this Article 2 (the "Management Board"). Except as otherwise expressly provided herein, the Management Board shall have complete and exclusive discretion in the management and control of the affairs and business of the Company, and shall possess all powers necessary, convenient or appropriate to carrying out the purposes and business of the Company and to perform all acts and enter into and perform all contracts and other undertakings that it may deem necessary or advisable or incidental thereto, including doing all things and taking all actions necessary to carry out the terms and provisions of this Agreement (and is hereby authorized and directed, on behalf of the Company, to do all such things and to take all such actions without any further act, vote, consent or approval of any Member). Except as otherwise expressly provided herein, the Management Board may delegate such general or specific authority to officers, Members, employees or agents of the Company as the Management Board considers desirable from time to time, and such officers, Members, employees or agents of the Company may, subject to any restraints or limitations imposed by the Management Board, exercise the authority granted to them.
