Form of Cooperation. 1. In order to carry out comprehensive cooperation, in addition to this Agreement, at the same time as the execution of this agreement, certain Parties have signed a series of Cooperation Agreements, including but not limited to, the Exclusive Technical Service and Management Consulting Agreement, the Exclusive Call Option Agreement, the Equity Pledge Agreement, the Shareholders’ Rights Entrustment Agreement and the Shareholders’ Rights Power of Attorney. The Parties confirmed that through the signing of the Cooperation Agreements, various business relationships have been established between WFOE and the Domestic Affiliates, and WFOE will provide Domestic Affiliates with technical services, management support services, consulting services and intellectual property licenses required for the conducting of offline English training business and tourism business activities, including but not limited to preparation, selection and/or recommendation of training centers/schools courses and textbooks, recruitment of teachers and other staff, training support, admissions support,, public relations maintenance, market research and development, management and marketing consulting and other related services, and the payment of various amounts that the Domestic Affiliates should pay to WFOE under such agreements. Therefore, the daily operating activities of the Domestic Affiliates will have a substantial impact on their ability to pay the corresponding amount to WFOE.

Therefore, the daily operating activities of the Domestic Affiliates will have a substantial impact on their ability to pay the corresponding amount to WFOE.
Form of Cooperation. 1. Party B shall provide true information in relation to its application for the service in accordance with the requirements of SP service system while making such application and shall carry out testing on the service at the time as agreed by the parties after the application is approved.

Form of Cooperation. Sinovac and CDC will jointly form a key task team for the Project. If necessary, a corresponding organization will be set up to complete the research of the avian flu vaccine for human use and other related projects. Sinovac and CDC will each have one person specially assigned for the organization and implementation of the Project. The two Parties will exchange technicians according to the needs of the research. Each side will also provide proper research environment in their respective laboratories.

Pursuant to the terms of the Distribution Agreements, the PSLACs shall authorize SF Lottery to act as the distributor of SF-Themed Instant Scratch Lottery and provide the relevant distribution and sales services in respect of SF-Themed Instant Scratch Lottery, such as logistics and distribution, lottery maintenance and prize management in the four provinces, namely Guangdong, Jiangsu, Hunan and Jiangxi, through the relevant channel resources of SF Holding. The PSLACs and SF Lottery agreed to further develop the content and model of their cooperation by adopting innovative sales and marketing methods with reference to the actual conditions of the local areas. The PSLACs will also support the promotion of the SF-Themed Instant Scratch Lottery on a free of charge basis in areas such as launching, sales, marketing and promotion, and provide support in terms of marketing activities and policies. The PSLACs shall pay distribution commission to SF Lottery according to an agreed proportion of the sales volume of the SF-Themed Instant Scratch Lottery.
