ENVIRONMENT AND HEALTH AND SAFETY. 19.1 Each Group Company holds all Environmental Permits necessary for the conduct of its business as conducted on the date of this Agreement. So far as the Sellers are aware, in the twenty four (24) months prior to the date of this Agreement, each Group Company has complied in all material respects with the terms and conditions of all Environmental Permits that it holds and has been operating and carrying on its business and operations in material compliance with all applicable Environmental Law. No Environmental Permits may be terminated, revoked, modified or suspended as a result of the Transaction.
