Common use of Conveyance by Lessor Clause in Contracts

Conveyance by Lessor. Lessor may at its sole option, transfer the Leased Properties and in connection with any such transfer, may assign this Lease. If Lessor or any successor owner of the Leased Properties conveys the Leased Properties other than as security for a debt, Lessor or such successor owner, as the case may be, shall thereupon be released from all future liabilities and obligations of Lessor under this Lease arising or accruing from and after the date of such conveyance or other transfer and all such future liabilities and obligations shall thereupon be binding upon the new owner.

If Lessor or any successor owner of the Leased Properties conveys Property shall transfer or assign Lessor's title or interest in the Leased Properties Property or this Lease other than as security for a debt, and provided the new owner has agreed in writing for the benefit of Lessee to recognize this Lease and be bound by all of the terms and conditions hereof, Lessor or such successor owner, as the case may be, shall thereupon be released from all future liabilities and obligations of Lessor under this Lease arising or accruing from and after the date of such conveyance transfer or other transfer assignment and all such future liabilities and obligations shall thereupon be binding upon the new owner.
