Compensation of Xxxxxx. For the services to be rendered and the expenses to be borne by Xxxxxx hereunder, the Portfolio shall pay Xxxxxx a fee at an annual rate as set forth on Schedule A attached hereto. This fee will be computed daily and payable as agreed by the Portfolio and Xxxxxx, but no more frequently than monthly.
Compensation of Xxxxxx. This fee will be computed daily and will be payable as agreed by the Trust and Xxxxxx, but no more frequently than monthly.
Compensation of Xxxxxx. Xxxxxx’x compensation as a service provider to the Company (together with Xxxxxx’x compensation as a service provider to all other real estate, media and/or endorsement businesses and for all other direct real estate, media and/or endorsement activities) shall not exceed $100,000 per annum. Pro rata distributions of Company net income to Members are not subject to this cap.
Compensation of Xxxxxx. For the services provided by Xxxxxx pursuant to this Agreement, Xxxxxx shall receive the compensation described in Xxxxxx’x Fee Schedule which is attached to this Agreement as Attachment X. Xxxxxx’ fee schedule shall be subject to change from time to time with a 30-day written notice to Employer. If Employer objects to Xxxxxx’x change to the Fee Schedule in writing within 30 days, the prior Fee Schedule will remain in effect until such time as Xxxxxx and Employer come to an agreement on a change to the Fee Schedule, or if no agreement can be reached, until the end of that term. Employer acknowledges and agrees and hereby instructs the Trustee to pay to Xxxxxx out of assets held in the Trust the compensation that is due to Xxxxxx under this Agreement. In the event the Trustee fails to or is unable to pay Xxxxxx out of the Trust assets, Client shall promptly pay to Xxxxxx the outstanding compensation that is due. Employer acknowledges and agrees that Investment Advisor and the Trustee will each provide separate services on behalf of the Trust, and will each be compensated for and be responsible for their services in accordance with the terms of the written agreements of Employer and the Trustee. Employer further acknowledges that the Actuary will provide separate services to Employer and will be compensated for and be responsible for its services in accordance with the terms of the written agreement between Employer and the Actuary. Xxxxxx shall only be responsible for providing to Client the specific services included in this Agreement and under no circumstances shall Xxxxxx be responsible or liable for the services provided by the other Service Providers or the Actuary.
Compensation of Xxxxxx. 4.1 Xxxxxx will be paid a starting salary of Seventeen Thousand US Dollars ($17,000) per month as a base salary for his combined services to Profire and FLOZ. For the purposes of this section, it is understood that all compensation shall be initially paid by Profire even though FLOZ shall remain jointly obligated. As such, the reference to Companies in this section shall refer to Profire as the primary payor, but include both Profire and FLOZ as responsible parties. Initials: ______ ______ It is further understood and agreed that should there be a subsequent merger or acquisition, Xxxxxx shall continue in such position as the COO of the surviving entity and that his compensation shall not be changed or diminished as a result of such subsequent merger or acquisition. Xxxxxx shall be paid the foregoing gross monthly salary not later than the last day of each month in which incurred, but subject to standard deductions for mandatory tax, social security and other governmentally imposed deductions or withholdings, such as Medicaid and unemployment insurance.
Compensation of Xxxxxx. In consideration for providing the services under this Agreement, the Series Trust shall pay Xxxxxx the fee set forth in Schedule A attached hereto.
Compensation of Xxxxxx. It is understood that RAI, through the compensation committee of the Board, will review XxXxxx'x performance on an annual basis and increase or decrease (but in no event below the Initial Level) such Base Compensation, based upon XxXxxx'x performance.
