City’s Representations. The City represents and warrants to GEC and the Tribe the following as of the date hereof:
City’s Representations. The City hereby represents and warrants to TPL that it has full power and authority to enter into this Agreement and perform its duties and obligations hereunder, and the person signing this Agreement for the City has full power and authority to sign for the City and to bind it to this Agreement.

City covenants that until the first to occur of the expiration or earlier termination of this Agreement or the Close of Escrow, upon learning of any fact or condition that would cause any of the warranties and representations in Section 2.1.2 to be untrue, City shall promptly give written notice of such fact or condition to Developer. City acknowledges that Developer shall rely upon City’s representations made herein notwithstanding any investigation made by or on behalf of Developer. City hereby represents, warrants, and covenants that the following are true and correct as of the Effective Date.
City’s Representations. City represents and warrants to Licensee it owns the Premises in fee simple and has the power and authority to enter into this Agreement and perform all obligations and agreements incidental or pertinent to this Agreement. City makes no representation or warranty with respect to the condition of the Premises or its fitness or availability for any particular use, and City shall not be liable for any latent or patent defects therein.
City’s Representations. City has full power and authority to enter into this Covenant Agreement as to the Option and Early Repurchase Option and to consummate the transactions contemplated herein without obtaining the consent or approval of any other person, entity or governmental authority. The persons whose names are set forth below hereby personally represent and warrant that they have full power and authority to sign the name of City to this Covenant Agreement as to the Option and to cause this Covenant Agreement as to the Option and Early Repurchase Option to be a binding obligation of City.
City’s Representations. The City represents that it will establish as a goal to retain, hire, or engage Volusia County contractors for design and construction of the Facility, and to encourage or require its contractors, vendors, and service providers to achieve a minimum of 20% employment of Volusia County residents.
City’s Representations. 4.7.2.1.1 City is a municipal corporation duly organized and validly existing under the laws of the State of Washington and has full legal right, power and authority to own its property and carry on its business as now being conducted. All corporate action on the part of City necessary for the authorization, execution, delivery and performance of this Agreement has been duly taken. City has full power and authority to enter into, execute and deliver this Agreement and to perform its obligations under this Agreement.
City’s Representations. The City represents and warrants to AEG as follows:
