Common use of Change of Circumstances Clause in Contracts

Change of Circumstances. During the term of this Agreement, the Company will, at any time during a fiscal quarter in which the Company intends to deliver an Agency Transaction Notice to the Agents to sell Shares, advise the Agents promptly after it has received notice or obtained knowledge thereof, of any information or fact that would alter or affect in any material respect any opinion, certificate, letter or other document provided to the Agents pursuant to this Agreement.

During the term of this Agreement, the Company Corporation will, at any time during a fiscal quarter in which the Company Corporation intends to deliver an Agency Transaction a Placement Notice to the Agents to sell Placement Shares, advise the Agents promptly after it has received notice or obtained knowledge thereof, of any information or fact that would alter or affect in any material respect any opinion, certificate, letter or other document provided to the Agents pursuant to this Agreement.

During the term of this Agreement, the Company Corporation will, at any time during a fiscal quarter in which the Company Corporation delivers or intends to deliver an Agency Transaction a Placement Notice to the Agents Agent to sell Placement Shares, advise the Agents Agent promptly after it has received notice or obtained knowledge thereof, of any information or fact that would alter or affect in any material respect any representation, opinion, certificate, letter or other document provided to the Agents Agent pursuant to this Agreement.
