By Search. During the Standstill Period, Search covenants that Search shall not, and Search shall cause each Search Affiliate (and each such Affiliate's own affiliates and associates), not to, make any public statements about the Stockholders or any Stockholder Affiliate.
By Search. If any of a Stockholder's Registrable Securities is registered under the Securities Act pursuant to this Agreement, Search will indemnify and hold harmless such Stockholder against any losses, claims, damages, or liabilities, to which such Stockholder may become subject under the Securities Act or otherwise, insofar as such losses, claims, damages, or liabilities (or actions in respect thereof) arise out of or are based upon any untrue statement or alleged untrue statement of any material fact contained in any registration under which any of such Stockholder's Registrable Securities were registered under the Securities Act pursuant to this Agreement, any preliminary prospectus or final prospectus contained therein, or any amendment or supplement thereof, or arise out of or are based upon the omission or alleged omission to state therein a material fact required to be stated therein or necessary to make the statements therein not misleading, or any violation by Search of any rule or regulation promulgated under the Securities Act applicable to Search and relating to action or inaction by Search in connection with any such registration, and will reimburse such Stockholder for any legal or other expenses reasonably incurred by them in connection with investigating or defending any such loss, claim, damage, liability or action; provided, however, that Search will not be liable in any such case if and to the extent that any such loss, claim, damage, or liability
By Search. To the extent Search is named as a defendant in any claim or cause of action, including the O'Shxx xxxe, brought against Myerx xxx Search, Search may settle such matters on its own behalf without the concurrence of Myerx, but shall not attempt to bind Myerx xx any manner. Search shall use reasonable effort in any
By Search. Search hereby agrees that as a co-defendant in any suit in which it and Myerx xxx named that it will not bring any claim or cause of action against Myerx xx relation to the terms and conditions of any settlement of such matters made by Myerx.
