No broker's or finder's fee or commission or investment banking fee has been or will be payable, or asserted to be payable by any of the Assignee, the Seller, the Company or the Subsidiary with respect to the purchase of the Shares from the Seller or the transactions contemplated by this Agreement as a result of any agreement entered into by the Assignee.
