Audit Expenses. Audits shall be performed at the Auditing Party’s expense, unless the audit found billing errors or inaccuracies in favor of the Auditing Party, in which case the Audited Party shall reimburse the Auditing Party for its expense in performing said audit. There shall be no charge for reasonable access to the Audited Party’s employees, books, records, documents, facilities and systems necessary to assess the accuracy of the Audited Party’s bills.

Audit Expenses. The Target Company’s reasonable out-of-pocket fees and expenses related to the preparation of the Target Company’s audited financial statements in connection with SPAC Merger or of an IPO shall be paid by Holdings or its Affiliates to the Seller Representative, up to $100,000, for further distribution to the Sellers, at the closing of a SPAC Merger or at the effective time of an IPO, as the case may be.
Audit Expenses. If the Licensee is liable to pay the cost of an audit under Clause 13.4, the Licensee shall forthwith pay the amount of 800 euros per day, such sum to include disbursements and expenses, upon receipt by the Licensee of a notice setting out such outstanding amount thereon. The Licensee will only be liable for a maximum cost of two days per audit.

If there is an overpayment of Royalties in excess of five percent (5%), Licensor shall remit the amount of such overpayment to Licensee, together with reimbursement for the reasonable costs and expenses of Licensee in connection with the audit. Any disputes concerning Royalty amounts due will be resolved by expedited, final offer (baseball style) arbitration.

Audit Expenses. Borrower will reimburse Lender at the rate of $800 per person per day, together with all out-of-pocket expenses incurred, for all audits conducted by Lender with respect to all or any portion of the Collateral and/or Borrower's financial and other records. Such audits may be conducted by Lender from time to time in its sole discretion and may be handled by Lender's own personnel and/or by outside auditors engaged by Lender (and in either such case shall be reimbursed as specified above).
Audit Expenses. GS shall bear its expenses relating to any audit performed under this provision; provided, however, if any such inspection reveals any invoice or payment has not been rendered or made in accordance with the terms of this Agreement and results in an overcharge to GS which results in a refund or credit of the overcharge, J.X.
