Executive understands and agrees that neither Executive’s job performance nor promotions, commendations, bonuses or no cause, at the option either of like from the Company give rise to or in any way serve as the basis for modification, amendment, or extension, by implication or otherwise, of Executive’s employment with the Company. However, as described in this Agreement, Executive may be entitled to severance payments or benefits depending upon on the circumstances of Executive’s termination of employmentemployment with the Company.

At-Will Employment. Executive and the Company agree that Executive’s employment with the Company constitutes “at-will” employment. Executive and the Company acknowledge that this employment relationship may be terminated at any time, upon written notice to the other party, with or without good cause Cause or for any or no causeGood Reason (as each such term is defined in Section 4 below), at the option either of the Company or Executive. However, as described in this Agreement, Executive may be entitled to severance benefits depending upon the circumstances of Executive’s termination of employment.

At-Will Employment. Executive and the Company agree that Executive’s employment with is at-will and that, subject to Section 6(d) below, either Executive or the Company constitutes “at-will” may terminate Executive’s employment. Executive and the Company acknowledge that this employment relationship may be terminated , at any time, upon written notice to the other party, with or without good cause or for any or no cause, at with no prior notice; provided however that each party shall remain bound by the option either terms and provisions of this Agreement that survive the Company or Executive. Executive employment and the Company acknowledge that this employment relationship may be terminated at any time, upon written notice to the other party, time with or without good cause Cause or for any notice. Executive understands and agrees that neither his job performance nor promotions, commendations, bonuses or no cause, at the option either of like from the Company give rise to or Executivein any way serve as the basis for modification, amendment, or extension, by implication or otherwise, of his employment with the Company. However, as described in this Agreement, Executive may be entitled to severance benefits depending upon on the circumstances of Executive’s termination of employmentemployment with the Company.

Executive and the Company acknowledge that this employment relationship may be terminated at any time, upon thirty (30) days written notice to the other party, with or without good cause or for any or no cause, at the option either of the Company or Executive. However, as described in this Agreement, Executive may be entitled to severance and other benefits depending upon the circumstances of Executive’s termination of employment.

At-Will Employment. Executive and While this Agreement is in effect, the Company agree that Executive’s 's employment with the Company constitutes “shall continue to be at-will” employment. Executive and the Company acknowledge that this employment relationship will and, as such, may be terminated by the Executive or the Company at any time, upon written notice to the other party, for any reason and with or without good cause or for any or no causeadvance notice, at subject to the option either of the Company or Executive. However, as described in this Agreement, Executive may be entitled to Company's severance benefits depending upon the circumstances of Executive’s termination of employmentobligations set forth herein.

Executive and the Company acknowledge that this employment relationship may be terminated at any time, upon four (4) weeks prior written notice to the other party, with or without good cause or for any or no cause, at the option either of the Company or Executive. However, as described subject to the termination provisions set forth in this Agreement, Executive may be entitled to severance benefits depending upon the circumstances of Executive’s termination of employmentParagraphs 4(c) and 4(d) below.

At-Will Employment. However, as severance payments and benefits described in this Agreement, Executive may be entitled to severance benefits depending upon Agreement in the circumstances of event that (i) the Executive’s termination employment is terminated by the Company for Cause or due to Executive’s death or Disability, or (ii) the Executive resigns from employment, regardless of employmentthe reason(s) for such resignation.

Executive , and the Company acknowledge that this employment relationship may be terminated at any time, upon written notice to the other party, with or without good cause or for any or no cause, at and with or without advance notice, subject, however, to the option either of the Company or Executiveterms herein. However, as described in this Agreement, Executive may be entitled to severance benefits depending upon the circumstances of Executive’s employment shall also be deemed terminated upon Executive’s death or becoming disabled. Notice of termination of employmentemployment must be given in writing.

At-Will Employment. Subject to the terms of this Agreement, Executive and the Company agree that Executive’s employment with the Company constitutes “at-will” employment. Executive and the Company acknowledge that this employment relationship may be terminated at any time, upon written notice to the other party, with or without good cause or for any or no cause, at the option either of the Company or Executive. However, as described in this Agreement, Executive may be entitled to severance benefits depending upon the circumstances of Executive’s termination of employment.

At-Will Employment. Executive and the Company agree that Executive’s employment with the Company constitutes is “at-will” employment. Executive and the Company acknowledge that this employment relationship may be terminated at any time, upon written notice to the other party, time with or without good cause by either party. Termination of the employment relationship is the right of each party and will not constitute a breach of this Agreement. No provision of this Agreement shall be construed as conferring upon Executive a right to continue as an employee or for any or no cause, at the option either executive of the Company or Executiveany subsidiary or affiliated entity. However, as described in this AgreementIn the event of termination, Executive may be entitled to severance benefits depending upon will voluntarily and immediately resign from the circumstances of Executive’s termination of employmentBoard and any similar position with any subsidiary or affiliate.

Executive understands and agrees that neither Executive’s job performance nor promotions, commendations, bonuses or the like from the Company give rise to or in any way serve as the basis for modification, amendment, or extension, by implication or otherwise, of Executive’s employment with the Company constitutes “at-will” employment. Executive and the Company acknowledge that this employment relationship may be terminated at any time, upon written notice to the other party, with or without good cause or for any or no cause, at the option either of the Company or ExecutiveCompany. However, as described in this Agreement, Executive may be entitled to severance payments and benefits depending upon on the circumstances of Executive’s termination of employmentemployment with the Company.
