Approval of Assignment. 30.11. ANP shall send to the Contracting Party an opinion on the requested authorization within ninety (90) days of submission of the full documentation, as required under the Applicable Laws and Regulations.

If Franchisee and its owners are in full compliance with this Agreement, Franchisor shall not unreasonably withhold its approval of either an assignment or the sale of assets of the Xxxxx, provided that the proposed assignee, buyer, or other transferee (the “Transferee”) is of good moral character and has sufficient business experience, aptitude, and financial resources to own and operate the Xxxxx and otherwise meets Franchisor’s then-applicable standards for franchisees.

The City Manager may, at his or her discretion, approve of the assignment or transfer in writing, deny the assignment or transfer, or refer the matter to the City Council for approval. In the event the City Manager determines that the assignment or transfer should be acted upon by the City Council, the City Manager shall notify Developer in writing of the need for City Council authorization. The City Council shall thereafter consider the proposed assignment or transfer. The proposed assignment or transfer may be approved or denied by formal action of the City Council.

Approval of Assignment. A. City consents to the assignment to Ogden Parks of all of OEI’s right, title, interest, duties, obligations, and responsibilities in and under the Lease as specified in Section 1 and the subsequent sale of Ogden Parks to Alfa Alfa subject to the conditions set forth in subsection B, below: City’s consent to assignment under this Agreement is made with the express condition that this consent will not be deemed a consent to any subsequent assignment or sale, other than the proposed sale of Ogden Parks to Alfa Alfa.
Approval of Assignment. If the Assignment of the Subject Interests requires approval of any party who is not a Party to this Agreement, including, but not limited to, any state or federal authority having jurisdiction, Farmors agree to cooperate with Farmees in Farmee’s efforts to obtain all such approvals. If any such approval cannot be obtained, Farmors and Farmees shall execute an instrument or instruments containing provisions reflecting the terms and conditions of this Agreement which, in all other respects, effectuate the provisions contained herein, but which do not violate any restrictions on assignment.
Approval of Assignment. In consideration for the Assignor-Tenant's agreements and the Assignee-Tenant's acceptance and covenants set forth in Section 2, above, Landlord hereby approves the foregoing assignment of Lease and accepts the Assignee-Tenant as Tenant. Landlord further reserves the right to approve or disapprove any future assignments or subleases on the part of the Assignee-Tenant in Landlord's sole discretion pursuant to Article 15 of the Lease.
Approval of Assignment. Each Investor hereby consents to the foregoing assignment to Charter Holdco.
