Amendment to Annex. III of the Agreement. Annex III of the Agreement is hereby amended by deleting such annex in its entirety and replacing it with Exhibit A attached hereto.
Amendment to Annex. A (Pricing Grid). Annex A is hereby amended by deleting it in its entirety and inserting in its place Annex A attached hereto.
Amendment to Annex. A of the Credit Agreement. Annex A of the Credit Agreement is hereby amended by deleting the Pricing Grid therein and substituting in lieu thereof the Pricing Grid attached hereto as Annex A.
Amendment to Annex. F of the Credit Agreement. Annex F of the Credit Agreement is hereby amended as of the Amendment Effective Date by deleting the first proviso of paragraph one thereof and replacing it with the following proviso to read as follows: "provided, that the aggregate amount of all Letter of Credit Obligations at any one time outstanding (whether or not then due and payable) shall not exceed the lesser of (a) $50,000,000, (b) the Aggregate Revolving Credit Commitment minus the outstanding Revolving Credit Loan, and (c) the Borrowing Base minus the outstanding Revolving Credit Loan;"
Amendment to Annex. A to the Credit Agreement (Pricing Grid). Annex A to the Credit Agreement is hereby amended by deleting in its entirety the grid set forth in such Annex and inserting in lieu thereof the grid set forth in Annex A attached hereto, it being understood and agreed that (i) such amendment shall be deemed to be effective as of May 29, 2002 and (ii) the grid set forth in Annex A attached hereto shall be used for all determinations of the Applicable Margin on and after May 29, 2002.

Amendment to Annex. A (Pricing Grid). Annex A to the Credit Agreement is hereby amended by inserting at the end thereof the following: "Notwithstanding the foregoing, during the Seventh Amendment Waiver Period, the Applicable Margin for Eurodollar Loans shall be 2.75% , the Applicable Margin for ABR Loans shall be 1.50% and the Commitment Fee Rate shall be 0.50%."
