Advance Requirements. Once the Agreement is certified, Grantee, prior to distribution of any advanced payment, must fulfill the following conditions:

In addition to the provisions of Section 7.1, the following conditions must be met prior to Lender making any Advance under the Revolving Line of Credit: All representations and warranties of Borrower in Article VI shall be true and correct in all material respects on and as of such date, except for representations and warranties expressly stated to relate to a specific earlier date, in which case such representations and warranties shall be true and correct in all material respects as of such earlier date; Borrower shall have complied with all of its covenants set forth in this Agreement; No Event of Default shall have occurred and be continuing or would occur as a result of such Advance; A completed, written Borrowing Notice shall be delivered to Lender; All required fees and expenses shall have been paid to Lender; and All necessary assignments, agreements and any other documents reasonably requested by Lender related to the resignation of KeyBank as Agent under the Original Credit Agreement have been received by Lender.
