Acquisition by Affiliates. Notwithstanding anything to the contrary in this Agreement, Purchaser may cause some or all of the Assets to be acquired hereunder by one (1) or more affiliates of Purchaser; provided, however, that Purchaser shall remain liable, jointly and severally, with any such affiliate(s) for any and all obligations under this Agreement. The term "affiliates" as used in this Section 2(d) shall have the same meaning as set forth under the definition of "affiliates" in Rule 405 of the Securities Act of 1933, as amended.

The Executive will be entitled to continued Compensation and Benefits coverage and credits as provided in Section 5 or to reimbursement for the cost of providing the Executive with comparable benefit coverage during the term in which the Executive is receiving payments from the Company after termination pursuant to Section 6(d). Such benefit coverage will be offset by comparable coverage provided to the Executive in connection with subsequent employment.

  • Cooperation by Holders The Partnership shall have no obligation to include Registrable Securities of a Holder in a Registration Statement or in an Underwritten Offering pursuant to Section 2.03(a) if such Holder has failed to timely furnish such information that the Partnership determines, after consultation with its counsel, is reasonably required in order for any registration statement or prospectus supplement, as applicable, to comply with the Securities Act.
